1. Acceptance of Terms

Welcome to https://dhrtrade.com/ (the “Site”), operated by DHR Trade LLC (“we,” “us,” or “our”). By accessing or using our Site, purchasing “Deals,” or registering an account, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use our Service.

2. Nature of Our Service (Marketplace Disclaimer)

Important: DHR Trade LLC operates as a marketplace and directory that connects buyers (“Users”) with third-party sellers/vendors (“Sellers”) who offer products, services, or deals (“Deals”).

  • We are an Intermediary: We are not the creator, manufacturer, or direct provider of the products or services listed by Sellers on our Site, unless explicitly stated otherwise.

  • No Endorsement: We do not guarantee the quality, safety, legality, or accuracy of any “Deal” listed.

  • Contractual Relationship: When you purchase a Deal, the contract for the sale is directly between You (the Buyer) and the Seller. DHR Trade LLC is not a party to that transaction.

3. Eligibility

The Site is intended solely for users who are 18 years of age or older. By using the Site, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements.

4. User Accounts

To access certain features, you must register for an account using your email and password.

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You agree to notify us immediately of any unauthorized access to your account.

  • We reserve the right to disable any user account at any time in our sole discretion if we believe you have violated any provision of these Terms.

5. Purchases and Payments

  • Payment Processing: All payments are processed through Stripe, a third-party payment processor. We do not store your credit card information.

  • Pricing: Prices for Deals are set by the Sellers. We are not responsible for pricing errors or typographical errors made by Sellers.

  • Taxes: You are responsible for any applicable sales tax, VAT, or other governmental levies associated with your purchases.

6. Refund and Cancellation Policy

Because DHR Trade LLC acts as a venue for third-party Sellers:

  • Seller Responsibility: Each Seller is responsible for their own fulfillment and customer service.

  • Disputes: If you have an issue with a product or service purchased through a “Deal,” you must contact the Seller directly using the contact information provided upon purchase.

  • Platform Role: DHR Trade LLC is not obligated to issue refunds for the failure of a Seller to deliver goods or services, though we may intervene at our sole discretion to resolve disputes.

7. Prohibited Uses

You agree not to use the Site to:

  • Violate any federal, state, local, or international law.

  • Upload false, misleading, or illegal content.

  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site.

  • Attempt to bypass our security measures or “scrape” data from our Site.

8. Intellectual Property

The Site and its original content, features, and functionality are owned by DHR Trade LLC and are protected by United States and international copyright, trademark, and other intellectual property laws. Content uploaded by Sellers remains the property of the respective Seller, but they grant us a license to display it.

9. Disclaimer of Warranties

YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE AND ALL “DEALS” ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. DHR TRADE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DHR TRADE LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE OR ANY “DEAL” PURCHASED THROUGH THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO DHR TRADE LLC IN THE SIX (6) MONTHS PRIOR TO THE ACT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless DHR Trade LLC from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States and the State in which DHR Trade LLC is registered, without regard to its conflict of law provisions.
